Terms of Service

1. Acceptance of Terms

By accessing or using the Calyo platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not access or use the Service.

2. Amendments

Calyo reserves the right to modify these Terms at any time. We will notify you of material changes by email or through the Service. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms. It is your responsibility to review the Terms periodically.

3. Description of Service

Calyo is an AI-powered influencer marketing platform that enables users to discover creators, send personalized outreach, handle negotiations, and track campaigns. The Service may perform actions autonomously on behalf of the User, including but not limited to sending messages to third parties and negotiating terms with creators.

4. Account Registration

To use the Service, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You must notify Calyo immediately at [email protected] of any unauthorized use of your account or any other breach of security.

5. Subscription & Payments

Access to the Service requires a paid subscription. Subscriptions are billed monthly or annually, as selected by the User, and are processed through our payment provider, Stripe.

• Auto-renewal: Subscriptions automatically renew at the end of each billing period unless cancelled by the User.
• Annual plans: Users on annual plans must cancel at least 60 days before the end of their current term to avoid renewal.
• No refunds: There will be no refunds or credits for partial use of the Service, upgrade or downgrade refunds, unused features, or unused credits.
• Credits: Credits included in your plan are non-transferable and expire at the end of each billing period unless otherwise stated.
• Late payments: Calyo reserves the right to suspend access to the Service in case of non-payment.

6. Free Trial

Calyo may offer a free trial period at its discretion. At the end of the trial period, your account will be converted to a paid subscription unless you cancel before the trial expires. Trial terms and duration may vary and will be communicated at the time of registration.

7. API Usage

Calyo may provide access to an Application Programming Interface (API). API access is subject to the same terms as the Service. You may use the API to build integrations within the limits of your subscription plan. You may not exceed rate limits, resell API access, or use the API in a manner that degrades the Service for other users.

8. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
• Send spam, unsolicited messages, or any content that violates applicable anti-spam laws.
• Attempt to gain unauthorized access to the Service, other accounts, or related systems.
• Resell, sublicense, or redistribute the Service without prior written consent from Calyo.
• Use the Service to harass, abuse, or harm any individual, including creators contacted through the platform.
• Create multiple accounts for disruptive or abusive purposes.

9. AI-Powered Actions

The User acknowledges that the Service may perform actions autonomously on their behalf, including sending messages to third parties, negotiating terms, and managing campaign communications. The User remains responsible for configuring, monitoring, and supervising the Service's automated actions.

AI-generated content and actions are provided on an "as is" basis. Calyo does not guarantee the accuracy, appropriateness, or effectiveness of any content generated or action taken by the Service.

10. Creator Data & GDPR

Calyo aggregates publicly available creator data (profiles, statistics, audience demographics) to power its discovery and analytics features. The User acts as an independent data controller with respect to any creator data accessed through the Service.

The User is solely responsible for ensuring that their use of creator data complies with applicable data protection laws, including the General Data Protection Regulation (GDPR). This includes obtaining any necessary consents before processing personal data of creators.

11. Intellectual Property

The Service, including its design, features, code, and documentation, is the exclusive property of Calyo and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works of any part of the Service.

You retain all rights to the data and content you upload to the Service. By using the Service, you grant Calyo a limited license to process your data solely for the purpose of providing and improving the Service.

12. Publicity

Calyo may use your company name and logo on its website, marketing materials, and customer lists, unless you notify us in writing that you do not wish to be included. Calyo may also create case studies using publicly available information about your use of the Service, without disclosing confidential details.

13. Confidentiality

Each party agrees to protect the other party's confidential information with at least the same degree of care it uses to protect its own confidential information, and in no event less than reasonable care. Confidential information may not be disclosed to third parties without the disclosing party's prior written consent, except as required by law.

14. Availability & Support

Calyo will use commercially reasonable efforts to make the Service available 24 hours a day, 7 days a week, except for planned maintenance (with reasonable prior notice) and events beyond Calyo's control (force majeure).

Calyo does not guarantee uninterrupted or error-free access to the Service. Technical support requests will be addressed within 48 hours on business days.

15. Limitation of Liability

To the maximum extent permitted by law, the Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

Calyo shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities. Calyo's total liability under these Terms shall not exceed the total amount paid by the User in the 12 months preceding the claim.

16. Termination

The User may cancel their subscription at any time. Cancellation takes effect at the end of the current billing period.

Calyo may suspend or terminate your access to the Service at any time, with or without notice, for conduct that Calyo believes violates these Terms or is harmful to other users, third parties, or the Service.

Upon termination, your right to use the Service ceases immediately. Calyo may delete your account data after a reasonable retention period. Sections 10, 11, 13, 15, and 17 survive termination.

17. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of France. Any disputes arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the courts of Paris, France.

The parties agree to attempt to resolve any disputes amicably before initiating legal proceedings.
